Continuation, Withdrawal and Name. (a) The Partnership was formed as a limited partnership effective as of November , 2017, the effective date of the Initial Agreement and the date on which the Certificate of Limited Partnership of the Partnership was filed in accordance with the Act. The Partners have agreed to and do hereby amend and restate the Initial Agreement in its entirety on the terms and conditions set out in this Agreement, which hereby governs the Partnership.
