Continued Enforceability. The enforceability of this Plan is not affected by statutory amendments, changes in the firms of governments of the Parties, or changes in the elected officials of the Parties. This Plan shall be construed to be binding upon the Parties’ respective successors, agents and employees.
Continued Enforceability. 12.8.1 Should any of the terms and conditions of this Agreement be held to be invalid, unlawful or unenforceable, such terms and conditions shall be severable from the remaining terms and conditions which shall continue to be valid and enforceable.
Continued Enforceability. The parties acknowledge and agree that the Lease remains in full force and effect, unchanged except as expressly provided for in this Amendment. This Amendment and the Lease shall be read together as one document. In the event of any conflict between the terms of this Amendment and the terms of the Lease, the terms of this Amendment shall govern.
Continued Enforceability. Any provision in this agreement which is or may become illegal, invalid or unenforceable in any jurisdiction affected by this agreement shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability and shall be treated pro non scripto and severed from the balance of this agreement, without invalidating the remaining provisions of this agreement or affecting the validity or enforceability of such provision in any other jurisdiction.
Continued Enforceability. Termination of the Employment Relationship for any rea- son will not affect the continued enforceabil- ity of this Agreement of those provisions that by their nature are intended to continue in effect after termination.
Continued Enforceability. If the whole or any part of this Subsidiary Guaranty shall be now or hereafter become unenforceable against any one or more of the Subsidiary Guarantors for any reason whatsoever or if it is not executed by any one or more of the Subsidiary Guarantors, this Subsidiary Guaranty shall nevertheless be and remain fully binding upon and enforceable against each other Guarantor as if it had been made and delivered only by such other Subsidiary Guarantors.
Continued Enforceability. The provisions of this Agreement shall be enforceable notwithstanding its termination or the existence of any claim or cause of action of either party against the other, whether predicated on this Agreement or otherwise, shall apply to all Confidential Information acquired by the Recipient from any source whatsoever and shall continue forever.

If the whole or any part of this Guaranty shall be now or hereafter become unenforceable against Guarantor for any reason whatsoever, this Guaranty shall nevertheless be and remain fully binding upon and enforceable against each other Guarantor as if it had been made and delivered only by such other Guarantor.
Continued Enforceability. Except as expressly and specifically amended in this Amendment, the Settlement Agreement hereby is ratified and confirmed in all respects and shall continue in full force and effect.
