Common use of Continued Group Health Benefits Clause in Contracts

Continued Group Health Benefits. The Company shall provide the Executive with group health benefits for the Executive and Executive’s eligible dependents pursuant to the Consolidated Omnibus Budget Reconciliation Act of 1985, as amended (“COBRA”), in accordance with the Company’s policies immediately prior to the Termination Date (subject to the requirements of the last sentence of Section 4(d)) until the first to occur of (i) the date which is twelve (12) months after the Termination Date and (ii) the date upon which Executive and/or Executive’s eligible dependents are covered under similar plans. The Company shall also provide the Executive with information and access to enable the Executive to continue COBRA coverage thereafter for the maximum permitted period at the Executive’s expense; provided that during any period when the Executive is eligible to receive any such benefits under another employer-provided plan or a government plan, the group health benefits provided by the Company hereunder may be made secondary to those provided under such other plan.
