Common use of Continued Provisions Clause in Contracts

Continued Provisions. Notwithstanding any expiration or termination of this Agreement, (i) the indemnification obligation of both Parties as set forth in Article 8; (ii) the obligations of the both Parties upon termination of this Agreement as set forth in Article 9; (iii) the confidentiality and non-solicitation provisions set forth below; (iv) the obligations to pay any and all amounts payable and outstanding as of the expiration or termination of this Agreement, including those which may arise as the result of the expiration and termination of this Agreement, and (v) any other provision which expressly or by its nature is intended to survive termination of this Agreement (which will include, without limitation, this Article 10) shall survive and such expiration or termination, shall continue in full force and effect, and remain enforceable in accordance with their terms.

Continued Provisions. Notwithstanding any expiration or termination of this Agreement, (i) the indemnification obligation of both Parties as set forth in Article 86; (ii) the obligations of the both Parties upon termination of this Agreement as set forth in Article 97; (iii) the confidentiality and non-solicitation provisions set forth below; (iv) the obligations provisions related to pay any and all amounts payable and outstanding as of the expiration or termination of this AgreementC&S’s prepetition claims, including those which may arise the Liquidated Damages Claim and the Prepetition Rejection Damages Claim, as the result of the expiration set forth in Section 1.4 and termination of this Agreement, Article 7 and (v) any other provision which expressly or by its nature is intended to survive termination of this Agreement (which will include, without limitation, this Article 10) shall survive and such expiration or terminationAgreement, shall continue in full force and effect, and remain enforceable in accordance with their terms.
