Common use of Continued Sales Clause in Contracts

Continued Sales. Upon termination of this Agreement by Licensee pursuant to Section 11.2 (Termination for Material Breach) or Section 11.3 (Termination for Bankruptcy), then for [***]after the effective date of termination of this Agreement, if such termination occurs after Regulatory Approval of a Licensed Product, Licensee and its Affiliates and Sublicensees shall be entitled to finish work in progress and to the extent permitted under Section 11.5(d) below, sell such Licensed Product so finished or remaining in inventory in accordance with the terms of this Agreement to the extent such Licensed Product was being sold at the time of termination, provided that such sales and related activities shall be subject to the terms and conditions of this Agreement, including the royalty and milestone provisions of this Agreement and is subject to Section 11.5(d) below.
