Continuing Agreement; Assignments under Credit Agreement. This Subordination Agreement is a continuing agreement and shall remain in full force and effect until such time as the Lenders have no further commitment to lend, or issue letters of credit, under the Credit Agreement and the Obligations shall have been paid irrevocably in full in cash (other than the Limited Indemnification Obligations), be binding upon each Subordinated Creditor, each Debtor and their respective successors and assigns, and inure to the benefit of and be enforceable by the Administrative Agent and the Lenders and its and their respective successors, permitted transferees and permitted assigns. Without limiting the generality of the foregoing clause, the Administrative Agent and the Lenders may assign or otherwise transfer in accordance with the Credit Agreement all or any portion of its rights and obligations under the Credit Agreement (including, without limitation, all or any portion of its Commitments and the Obligations owed to it) to any other Person, and such other Person shall thereupon become vested with all the benefits in respect thereof granted to the Administrative Agent and/or the Lenders, as applicable, herein or otherwise.
