Common use of CONTINUING AUTHORITY OF AUTHORIZED REPRESENTATIVES Clause in Contracts

CONTINUING AUTHORITY OF AUTHORIZED REPRESENTATIVES. Agent and each of the Lenders are authorized to rely upon the continuing authority of the Persons hereafter designated by the Borrower ("Authorized Representatives") to bind the Borrower with respect to all matters pertaining to the Loan and the Loan Documents including, but not limited to, the selection of interest rates, the submission of requests for Warehousing Advances, and certificates with regard thereto. Such authorization may be changed only upon written notice to Agent accompanied by evidence, reasonably satisfactory to Agent, of the authority of the person giving such notice and such notice shall be effective not sooner than five (5) Business Days following receipt thereof by Agent. The Authorized Representatives as of the date of this Agreement are listed on SCHEDULE 4. The Agent shall have a right of approval, not to be unreasonably withheld or delayed, over the identity of the Authorized Representatives so as to assure Agent and each of the Lenders that each Authorized Representative is a responsible and senior official of the Borrower.

Such authorization may be changed only upon written notice to Administrative Agent accompanied by evidence, reasonably satisfactory to Administrative Agent, of the authority of the person giving such notice and such notice shall be effective not sooner than five (5) Business Days following receipt thereof by Administrative Agent. The Agent and each of the Lenders Issuing Bank are authorized to rely upon the continuing authority of the Persons hereafter designated by the Borrower Account Party ("Authorized Representatives") to bind the Borrower Account Party with respect to all matters pertaining to the Loan Letter of Credit (including any L/C Schedule) and the Loan other Credit Documents including, but not limited to, the selection of interest rates, the submission of requests for Warehousing Advances, to add or withdraw Eligible Lease-Up Bonds to or from the Letter of Credit Facility and certificates with regard thereto. Such authorization may be changed only upon written notice to Agent accompanied by evidence, reasonably satisfactory to Agent, of the authority of the person giving such notice and such notice shall be effective not sooner than five (5) Business Days following receipt thereof by Agent. The Authorized Representatives as of the date of this Agreement Date are listed on SCHEDULE 4Schedule 7. The Agent shall have a right of approval, not to be unreasonably withheld or delayed, over the identity of the Authorized Representatives so as to assure the Agent and each of the Lenders Issuing Bank that each Authorized Representative is a responsible and senior official of the BorrowerAccount Party.
