Common use of Continuing Guaranty; Transfer Of Obligations Clause in Contracts

Continuing Guaranty; Transfer Of Obligations. This Guaranty is a continuing guaranty and shall (i) remain in full force and effect until payment in full of the Obligations and all other amounts payable under this Guaranty, (ii) be binding upon the Guarantor and its successors and assigns, and (iii) inure to the benefit of and be enforceable by Lender and its successors, transferees and assigns. Without limiting the generality of the foregoing clause (iii), Lender may assign or otherwise transfer the right to collect the Obligations to any other person or entity, and such other person or entity shall thereupon become vested with all the rights in respect thereof granted to Lender herein or otherwise.

Without limiting the generality of the foregoing clause (iiic), Lender the Lenders may assign or otherwise transfer any of the right to collect Loan Documents, or any interest of the Obligations Lenders therein, to any other person or entityPerson, and such other person or entity Person shall thereupon become vested with all the rights in respect thereof granted to Lender the Lenders herein or otherwise.

This Guaranty is a continuing guaranty and shall (i) remain in full force and effect until indefeasible payment in full of the Obligations guaranteed hereunder and the fulfillment of all other amounts payable obligations under this Guaranty, (ii) be binding upon the Guarantor and each Guarantor, its successors and assigns, and (iii) inure to the benefit of of, and be enforceable by Lender by, Scepter and its successors, transferees and assignsassignees. Without limiting the generality of the foregoing clause (iii), Lender Scepter may assign or otherwise transfer the right to collect any of the Obligations to any other person or entity, and such other person or entity shall thereupon become vested with all the rights in respect thereof granted to Lender herein them under the Guaranty or otherwiseotherwise with respect to such of the Obligations so transferred or assigned.
