Common use of Continuing Limited Liability Company Clause in Contracts

Continuing Limited Liability Company. Notwithstanding any provision of the Act, the Company shall not dissolve prior to the occurrence of a Liquidating Event. The withdrawal, resignation or retirement of any Member which the Company is required by proper authority to recognize, or the death, expulsion, bankruptcy or dissolution of any Member or the occurrence of any other event which terminates the continued membership in the Company of any Member shall not be a liquidating event.
