Continuing Services. Covered Services that were previously authorized by the Contractor and are the subject of an internal Appeal or Board of Hearings (BOH) Appeal, if applicable, involving a decision by the Contractor to terminate, suspend, or reduce the previous authorization and which are provided by the Contractor pending the resolution of the internal Appeal or BOH Appeal, if applicable.
Continuing Services. In consideration of the Continuing Service Fee, ProQuest will provide Customer and its Authorized Users with online access to the Purchased Content, plus any included updates, on a proprietary platform designed to enhance the research experience (a “ProQuest Platform”). ProQuest will maintain systems and technology that help Customer comply with use restrictions and security standards required by ProQuest’s licensors.
Continuing Services. ACO Covered Services that were previously authorized by the Contractor and are the subject of an Internal Appeal or BOH Appeal, if applicable, involving a decision by the Contractor to terminate, suspend, or reduce the previous authorization and which are provided by the Contractor pending the resolution of the Internal Appeal or BOH Appeal, if applicable. Contract – the Contract between EOHHS and the Contractor awarded pursuant to the RFR. Contract Effective Date – The date on which the Contract is effective, which shall be the date this Contract is fully executed by both parties. Contract Operational Start Date (Operational Start Date) – the date on which the Contractor starts to provide ACO Covered Services to Enrollees, March 1, 2018.
Continuing Services. Within fifteen (15) days after the execution date of this Agreement, Buyer shall deliver to Seller a list of its proposed Representatives to a joint continuing services team, which shall include individuals with expertise from various functional specialties associated or involved in providing billing, payroll and other support services provided to the Business by any automated or manual process using facilities or employees that are not included among the Assets or Transferred Employees. Seller will add its Representatives to such team within fifteen (15) days after receipt of Buyer’s list. Such team will be responsible for preparing as soon as reasonably practicable after the execution date of this Agreement, and timely implementing, a continuing services plan that will identify and describe substantially all of the various continuing services activities that the parties will cause to occur before and after the Closing and any other transfer of control matters that any party reasonably believes should be addressed in such continuing services plan, substantially in the form attached hereto as Exhibit 6.6 (the “Continuing Services Agreement”). Buyer and Seller shall use their commercially reasonable efforts to cause their Representatives on such continuing services team to cooperate in good faith and take all reasonable steps necessary to develop a mutually acceptable continuing services plan. The specific continuing services activities will be mutually agreed upon and more fully set forth in a definitive Continuing Services Agreement to be executed and delivered by Buyer and Seller at the Closing.

For other Contract Years, a twelve-month period commencing January 1 and ending December 31, unless otherwise specified by EOHHS. Contractor – any entity that enters into an agreement with EOHHS for the provision of services described in the Contract. Contractor’s Plan (or Plan) – the managed care program administered by the Contractor pursuant to the Contract. Co-Morbid Disorders – the simultaneous manifestation of a physical disorder and a behavioral health disorder, or two different physical health disorders. Co-Occurring Disorders (or Dual Diagnoses) – medical conditions involving the simultaneous manifestation of a mental health disorder and a substance use disorder. Coverage Type – a scope of medical services, other benefits, or both, that are available to members who meet specific MassHealth eligibility criteria. EOHHS’s current Coverage Types with Members who may be enrolled
Continuing Services. The Company will:
(a) furnish to Franchisee, from time to time, such merchandising and operating aids and services, bulletins, newsletters, reports and other printed material in connection therewith, as are generally furnished to its other STEAK N SHAKE Franchisees.
(b) from time to time, at its discretion, provide written or verbal consultation and advice or send representatives to Franchisee's premises to consult with Franchisee or its management representative relative to the operation of the Restaurant; and shall periodically inspect the premises of the Restaurant (with or without prior notice) and the Equipment and Furnishings thereon and the products served by Franchisee therein to determine the efficiency and quality of the operation and the faithfulness of compliance with the System.
(c) on reasonable written request by Franchisee as determined by the Company, furnish services to Franchisee to aid in the solution of specific problems encountered by Franchisee which are beyond the scope of the Company's obligations in subsection (b) above. Franchisee shall reimburse the Company promptly for its actual time and actual expenses incurred in aiding Franchisee with such problems.

(b) If the closing of the transactions contemplated by the MGE Purchase Agreement shall occur prior to the Closing, Buyer and Seller shall negotiate, in good faith, a transition services agreement with respect to the Business pursuant to which Buyer shall provide Seller with such services relating to the Business as may be reasonable, necessary or appropriate to continue to operate the Business in accordance with Good Utility Practices.
Continuing Services. Revlon agrees to provide to Cosmetic Center, and Cosmetic Center agrees to purchase from Revlon, the following services (individually a "Continuing Service" and collectively the "Continuing Services") as and to the extent requested by Cosmetic Center (each of the subsections below being referred to herein as a "Service Group"):
(a) Revlon's senior executive management personnel for overall executive advice and services;
(b) Revlon's treasury staff for financial advice and services, including assistance with respect to matters such as financing, raising capital, and daily cash management and investment services;
(c) Revlon's legal staff for general legal advice and services, including assistance with respect to claims which may be asserted or become the subject of litigation, the preparation and review of contracts and disclosure documents required by federal laws and general consultation with respect to legal and administrative proceedings and matters;
(d) Revlon's human resources staff for advice and assistance with personnel matters, including, without limitation, wage and salary administration, employee relations and administration of pension plans and other employee benefit plans;
(e) Revlon's controller's staff for accounting, bookkeeping and auditing advice and services, including, without limitation, assistance in the preparation and review of financial statements, and assistance in the preparation and review of disclosure documents required by federal securities laws;
(f) Revlon's tax staff for general tax advice and services, including, without limitation, assistance in the preparation of federal, state, local and foreign tax returns;
(g) Revlon's real estate staff for administration and assistance in matters relating to real estate, including the administration of real estate leases;
(h) Revlon's management information staff for administration and assistance in matters relating to management information and computer systems;
(i) Revlon's corporate information staff for advice and assistance in matters relating to public relations and investor relations and in organizational matters associated with stockholders' meetings and meetings of the board of directors; (j) Revlon's risk management staff for advice and assistance with respect to risk management and insurance matters (including, if appropriate, arranging for Cosmetic Center's participation in Revlon's insurance plans and policies);
