Common use of Contract Changes Clause in Contracts

Contract Changes. (a) If Xxxxx XXXX requests or directs the Contractor to provide any Deliverable(s) that the Contractor believes are outside the scope of the Contractor's responsibilities under the contract, the Contractor must notify Xxxxx XXXX before performing the requested activities. If the Contractor fails to notify Xxxxx XXXX, any activities performed will be considered in-scope and not entitled to additional compensation or time. If the Contractor begins work outside the scope of the contract and then ceases performing that work, the Contractor must, at the request of Xxxxx XXXX, retract any out-of-scope work that would adversely affect the contract. (b) Xxxxx XXXX or the Contractor may propose changes to the contract. If the Contractor or Xxxxx XXXX requests a change to the Deliverable(s) or if Xxxxx XXXX requests additional Deliverable(s), the Contractor must provide a detailed outline of all work to be done, including tasks, timeframes, listing of key personnel assigned, estimated hours for each individual per Deliverable, and a complete and detailed cost justification. If the parties agree on the proposed change, Xxxxx XXXX Administrator will prepare and issue a notice that describes the change, its effects on the Deliverable(s), and any affected components of the contract (Contract Change Notice). (c) No proposed change may be performed until Xxxxx XXXX issues a duly executed Contract Change Notice for the proposed change.
