Contract Operating Agreement. Borrower will not amend, ------------------------------ restate, modify or waive any material provision of the Contract Operating Agreement without the consent of the Lenders. In addition, Borrower will not forgive any Debt outstanding under the Promissory Note dated January 29, 2004 made by Operator in favor of Borrower or modify any of the terms of such Promissory Note without the prior written consent of Lenders.
