Contract Specifications. “Contract Specifications” shall mean and include any and all designs, drawings, masks, reticles, models, specifications, manufacturing data and procedures, performance data, know-how and other technical information relating to the design, manufacture and/or operation of the Wafers, which are provided by SunPower to Manufacturer for the purpose of manufacturing and reworking Wafers pursuant to this Agreement.
Contract Specifications. From time to time during the term of this Agreement, SunPower shall provide Manufacturer with data and documents embodying the Contract Specifications required to permit Manufacturer to fabricate the Wafers. Manufacturer’s obligation to perform under Section 2.1 shall be subject to Manufacturer’s approval and acceptance of the Contract Specification provided by SunPower. The Contract Specifications that are presently being used by Manufacturer to fabricate wafers for SunPower are deemed approved and accepted by Manufacturer. Manufacturer will not unreasonably withhold approval or consent to Contract Specifications that are commercially reasonable variations of the Contract Specifications that are presently being used by Manufacturer to fabricate wafers for SunPower; provided, that Manufacturer will not be required to purchase additional equipment or supplies, license third party technology, modify existing processes or otherwise incur any additional expenses that are either outside of the ordinary course of business or are not fully reimbursed by SunPower or incur any other difficulties in order to support the SunPower Contract Specification and any of the foregoing shall constitute reasonable grounds for Manufacturer to withhold approval or consent to Contract Specifications.
Contract Specifications. Provider will not submit a Contract to JMAC for ----------------------- purchase unless it meets each of the following specifications (the "Contract Specifications"): (a) the Contract (i) is in the form prescribed or approved by JMAC, (ii) has not been rescinded, (iii) is a legal, enforceable, and undisputed obligation of the person(s) who owes or guarantees payments under the Contract ("OBLIGOR"), subject to any express right of cancellation provided in the Contract, and (iv) is in compliance with all requirements of applicable federal, state and local laws and regulations, including without limitation applicable usury laws, the Federal Truth-in-Lending Act, the Equal Credit Opportunity Act, the Federal Trade Commission Act, and other federal and state consumer credit laws and regulations; (b) Provider has received the cash down payment, if any, described in the Contract and no part of that cash down payment has been financed in any manner, and all amounts indicated in the Contract to be paid by Provider to any third party, if any, have been paid; and (c) the health care services and other services and products incidental thereto ("HEALTH CARE SERVICES") financed by the Contract will be substantially initiated or completed within 30 days following the date of the Contract.

Contract Specifications a. All freight, delivery, shipping and handling charges shall be included in the unit price. Prices are to be F.O.B. Destination and all prices shall include delivery to the three locations specified in VI.e. below. b. All orders must be filled with the same products as the samples submitted and specified in the Contract. No irregulars or seconds will be accepted. NO SUBSTITUTIONS for size, style or materials will be accepted without written consent from County c. Contractor shall maintain, in their inventory, a minimum supply of ticking material with the ability to re-cover up to two-hundred (200) mattresses per individual request/order. Re-Cover Orders must be completed within twenty-one (21) working days from pick-up of order. d. Within five (5) working days of experiencing any stock deficiencies that would delay orders, Contractor shall notify Sheriff-Coroner’s personnel at each of the jail facilities. Back orders shall only be accepted with County’s written consent and as long as 30 days’ notice is given to County personnel. Partial orders may be accepted at the discretion of the ordering division and shall be reflected as such on invoices. e. Deliveries shall be made at scheduled times with minimal delay in orders. Orders must be accurate and complete. Delivery schedule delays and/or order changes are disruptive and very costly to the County and may constitute a material breach of the contract. f. Contractor shall notify Sheriff-Coroner Department Personnel immediately in writing of any changes in the contracted-for materials or packaging within the five (5) working days to the County buyer and must wait to receive written consent accepting changes.
Contract Specifications. Until [DATE FIVE YEARS FROM CLOSING DATE] and except as otherwise provided in Section 158(A)(2), NYMEX will not establish or amend the contract terms and conditions of COMEX Core Products traded by open outcry (regardless of size), or any COMEX Division Replacement Contracts traded by open outcry, without the prior approval of the COMEX Governors Committee, in its sole discretion. This provision does not apply to COMEX Core Products (regardless of size) traded exclusively via electronic means.
