Contractor becomes insolvent;. In case of default, in addition to the remedies at law and equity available to Xxxxx College, Contractor agrees to pay to Xxxxx College the amount of all costs, expenses, damages, and reasonable attorneys' fees incurred by Xxxxx College in order to achieve the purpose of the approved Proposal, or for substituted performance, or for any proceeding, claim, or action associated with the approved Proposal. ASSIGNMENT: Neither this agreement, nor any payments to be earned pursuant to this Agreement, may be assigned by Contractor without the prior written consent of Xxxxx College.
