Common use of CONTRACTOR’S CORPORATE AUTHORIZATION Clause in Contracts

CONTRACTOR’S CORPORATE AUTHORIZATION. Contractor has the authority to enter this Agreement and perform its obligations under this Agreement. The Board of Directors of Contractor (or the shareholders, if necessary) have taken all actions required by law, its articles of incorporation, its bylaws, or otherwise, to authorize the execution of this Agreement. The Person(s) signing this Agreement on behalf of Contractor represent and warrant that they have authority to do so, as confirmed by the Corporate Secretary’s Certificate in Attachment H. This Agreement constitutes the legal, valid, and binding obligation of Contractor.
