Contracts and Information Complete. The limited partnership agreement, the power of attorney, the Brokerage Agreements and this Agreement have each been duly authorized, executed and delivered by the General Partner, and each is intended to be a valid and binding agreement of the Partnership and the General Partner in accordance with its terms.
