Contracts Filings. The Company shall amend the Contracts' Registration Statement and the Account's 1940 Act Registration Statement from time to time as required in order to effect the continuous offering of the Contracts in compliance with applicable law or as may otherwise be required by applicable law, but in any event shall maintain a current effective Contracts' Registration Statement and the Account's Registration Statement under the 1940 Act for so long as the Contracts are outstanding unless the Company (i) has supplied the Trust with an SEC no-action letter or opinion of counsel satisfactory to the Trust's counsel to the effect that maintaining such Registration Statement(s) on a current basis is no longer required, or (ii) has made a reasonable determination based on SEC no-action or interpretive positions that maintaining such Registration Statement(s) is no longer required, provided that this subsection (ii) shall not apply to circumstances where the Company has determined that maintaining such registration(s) is not required pursuant to Section 3(c)(1) or 3(c)(7) of the 1940 Act or the non-public offering exemptions under the 1933 Act. The Company shall be responsible for filing all such Contract forms, applications, marketing materials and other documents relating to the Contracts and/or the Account with state insurance commissions, as required or customary, and shall use its best efforts: (a) to obtain any and all approvals thereof, under applicable state insurance law, of each state or other jurisdiction in which Contracts are or may be offered for sale; and (b) to keep such approvals in effect for so long as the Contracts are outstanding.
