Contracts of a Material or Significant Nature. Except for contracts otherwise complying with this Agreement, not enter into any other contracts, agreements or purchase orders which would involve the expenditure of more than $1,000,000.00 in any instance or $1,000,000.00 in the aggregate without Agent's prior written consent, which consent shall not be unreasonably withheld or delayed, but which consent may be conditioned upon a demonstration by the Borrower to Agent's reasonable satisfaction that the contract, agreement or purchase order is reasonable and that the Party entering into such contract has adequate resources to pay and perform the same.

Except for contracts otherwise complying with this Agreement and contracts incident to the routine operation of the Property such as utilities, insurance and maintenance, Borrower shall not enter into any other contracts, agreements or purchase orders except in the ordinary course of business.

Except for contracts otherwise complying with this Agreement (as contemplated by, or executed in connection with, tenant improvements work and brokerage agreements for Approved Leases) and contracts incident to the routine operation of the Property such as utilities, insurance and maintenance, Borrower shall not enter into any other contracts, agreements or purchase orders which would involve the expenditure of more than One Hundred Thousand Dollars ($100,000.00) in any instance or Five Hundred Thousand Dollars ($500,000.00) in the aggregate in any year without Administrative Agent's prior written consent, which consent shall not be unreasonably withheld or delayed, but which consent may be conditioned upon a demonstration by Borrower to Administrative Agent's reasonable satisfaction that the contract, agreement or purchase order is reasonable and that Borrower has adequate resources to pay and perform the same.

Except for contracts or leases otherwise complying with this Agreement and contracts incident to the routine operation of the Property such as utilities, insurance and maintenance, Borrower shall not enter into any other contracts, agreements, including, without limitation, franchise or management agreements, without Lender’s prior written consent, acting in its reasonable discretion; provided however, the foregoing shall not be considered violated by execution by Borrower of a purchase and sale agreement for the Property which contemplates a full payoff of the Loan (including any applicable prepayment premiums) at the closing of such agreement.

Except for contracts otherwise complying with this Agreement, entered into in the normal course of business or contemplated in the business plan delivered pursuant to Section 7.2.1(ii), not enter into any other contracts, agreements or purchase orders which would involve the expenditure of more than $1,000,000.00 in any instance or $1,000,000.00 in the aggregate without Agent's prior written consent, which consent shall not be unreasonably withheld or delayed, but which consent may be conditioned upon a demonstration by Borrower to Agent's reasonable satisfaction that the contract, agreement or purchase order is reasonable and that the Party entering into such contract has adequate resources to pay and perform the same.

Except for contracts otherwise complying with this Agreement and contracts incident to the routine operation of the Property such as utilities, insurance and maintenance, Borrower shall not enter into any other contracts, agreements or purchase orders which would involve the expenditure, in the aggregate in any one year, of any amounts in excess of the amounts contemplated by the then effective Property budget without, in each case, the Agent's prior written consent, which consent shall not be unreasonably withheld or delayed, but which consent may be conditioned upon a demonstration by Borrower to the Agent's reasonable satisfaction that the contract, agreement or purchase order is reasonable and that Borrower has adequate resources to pay and perform the same.
Contracts of a Material or Significant Nature. Borrower shall not, without the prior written consent of Lender, enter into any merger or consolidation agreements or engage in any Division Series Transaction. 9.11 Reserved.

Except for agreements complying with this Agreement, Borrower shall not enter into any other contracts, agreements or purchase orders which would involve the expenditure of more than $50,000.00 in any instance or $250,000.00 in the aggregate per annum without Lender’s prior written consent, which consent shall not be unreasonably withheld or delayed, but which consent may be conditioned upon a demonstration by Borrower to Lender’s reasonable satisfaction that the contract, agreement or purchase order is reasonable and that Borrower has adequate resources to pay and perform the same. Lender confirms and agrees that the foregoing provisions of this Section 9.10.2 shall not apply to, and no consent from or notice to Lender shall be required for the execution and delivery by Borrower of, any agreement relating to the sale of, the Property, or commitments or related agreements in connection with the refinancing of the Property.

Except for contracts otherwise complying with this Agreement, not enter into any other contracts, agreements or purchase orders which would involve the expenditure of more than $5,000,000.00 in any instance or $5,000,000.00 in the aggregate without the Administrative Agent’s prior written consent, which consent shall not be unreasonably withheld or delayed, but which consent may be conditioned upon a demonstration by NMLP to the Administrative Agent’s reasonable satisfaction that the contract, agreement or purchase order is reasonable and that the NMLP Loan Party entering into such contract has adequate resources to pay and perform the same.

Except for contracts otherwise complying with this Agreement or any contact for the sale of all or a portion of the Property and contracts incident to the routine operation of the Property such as utilities, insurance and maintenance, Borrower shall not enter into any other contracts, agreements or purchase orders which would involve the expenditure of more than $100,000 in the aggregate in any year relating to each Property without Agent’s prior written consent, which consent shall not be unreasonably withheld or delayed, but which consent may be conditioned upon a demonstration by Borrower to Agent’s reasonable satisfaction that the contract, agreement or purchase order is reasonable and that Borrower has adequate resources to pay and perform the same.
