Contracts or Other Agreements with Former Employer or Business. The Employee hereby represents and warrants that he is not subject to any employment agreement or similar document, except as previously disclosed and delivered to the Company, with a former employer or any business with which the Employee has been associated, which on its face prohibits the Employee during a period of time which extends through the Commencement Date from any of the following: (i) competing with, or in any way participating in a business which competes with the Employee’s former employer or business; (ii) soliciting personnel of such former employer or business to leave such former employer’s employment or to leave such business; or (iii) soliciting customers of such former employer or business on behalf of another business. The Employee hereby further represents and warrants that he has not executed any agreement with any other party which, on its face, purports to require the Employee to assign any Work or any Invention created, conceived or first reduced to practice by the Employee during a period of time which extends through the Commencement Date except as previously disclosed in writing to the Company.

The Executive hereby represents and warrants that he is not subject to any employment agreement or similar document, except as previously disclosed and delivered to the Company, with a former employer or any business with which the Executive has been associated, which on its face prohibits the Executive during a period of time which extends through the Commencement Date from any of the following: (i) competing with, or in any way participating in a business which competes with the Executive’s former employer or business; (ii) soliciting personnel of such former employer or business to leave such former employer’s employment or to leave such business; or (iii) soliciting customers of such former employer or business on behalf of another business.
Contracts or Other Agreements with Former Employer or Business. The Consultant hereby represents and warrants that he is not subject to any agreement with respect to which the Consultant’s engagement by Bank would be a breach.

The Investor Development Manager hereby represents and warrants that Investor Development Manager is not subject to any employment agreement or similar document, except as previously disclosed and delivered to the Company, with a former employer or any business with which the Investor Development Manager has been associated, which on its face prohibits the Investor Development Manager during a period of time which extends through the date of this letter from any of the following: (i) competing with, or in any way participating in a business which competes with the Executive's former employer or business; (ii) soliciting personnel of such former employer or business to leave such former employer's employment or to leave such business; or (iii) soliciting customers of such former employer or business on behalf of another business.
Contracts or Other Agreements with Former Employer or Business. (a) The Associate agrees that he or she will provide to the Company, upon the execution and delivery of this Agreement, a copy of the pertinent portions of any employment agreement or similar document (described on Exhibit C, if any), executed by the Associate with a former employer or any business with which the Associate has been associated, which prohibits the Associate during a period of time from: (i) competing with or participating in a business which competes with the Associate's former employer or business; (ii) soliciting personnel of the former employer or business to leave the former employer's employment or to leave the business; or (iii) soliciting customers of the former employer or business on behalf of another business.

The Transaction Manager hereby represents and warrants that Transaction Manager is not subject to any employment agreement or similar document, except as previously disclosed and delivered to the Company, with a former employer or any business with which the Transaction Manager has been associated, which on its face prohibits the Transaction Manager during a period of time which extends through the date of this letter from any of the following: (i) competing with, or in any way participating in a business which competes with the Executive’s former employer or business; (ii) soliciting personnel of such former employer or business to leave such former employer’s employment or to leave such business; or (iii) soliciting customers of such former employer or business on behalf of another business.
Contracts or Other Agreements with Former Employer or Business. The Executive hereby represents and warrants that (A) he is not subject to any employment agreement or other document or arrangement (affecting the ability of the Executive to provide his services exclusively to the Company pursuant to this Agreement or restricting the ability of the Executive to compete with any Person) except those listed on Schedule 2 hereto, a true copy of each of which has been delivered previously to the Combined Members Representative and (B) the Executive's provision of services as contemplated hereby and by the Operating Agreement (and the Exhibits and Schedules attached thereto) will not breach any contract, agreement, judgment or order binding on the Executive, including those listed on Schedule 2 attached hereto.

The Project Manager hereby represents and warrants that Project Manager is not subject to any engagement, consulting, employment agreement or similar document, except as previously disclosed and delivered to the Company, with a former employer or any business with which the Project Manager has been associated, which prohibits the Project Manager during a period of time which extends through the date of this letter from any of the following: (i) competing with or in any way participating in any business ; (ii) soliciting personnel ; or (iii) soliciting customers on behalf of another business.
Contracts or Other Agreements with Former Employer or Business. The Contractor hereby represents and warrants that he is not subject to any employment or consulting agreement or similar document with a former employer or with any business as to which the Contractor’s engagement by the Company and provision of services hereunder would be a breach. For that reason, the Contractor hereby represents and warrants that he is not subject to any agreement which prohibits the Contractor during a period of time which extends through the Term from any of the following: (a) providing services for the Company hereunder by this Agreement; (b) competing with, or in any way participating in a business which includes the Company’s businesses; (c) soliciting personnel of such former employer or other business to leave such former employer’s employment or to leave such other business; or (d) soliciting customers of such former employer or other business on behalf of another business.
Contracts or Other Agreements with Former Employer or Business. The Employee hereby represents and warrants that he is not subject to any employment agreement or other document or arrangement, in each case, affecting the ability of the Employee to provide his services exclusively to the Company pursuant to this Agreement or restricting the ability of the Employee to compete with any Person. The Employee's provision of services as contemplated hereby would not breach any contract, agreement, judgment or order binding on the Employee.
