Common use of Contravention; No Default Clause in Contracts

Contravention; No Default. The execution and delivery by the Corporation of, and the performance by the Corporation of its obligations under, this Agreement and the GE Capital Agreement will not contravene any provision of applicable law or the Certificate of Incorporation or By-laws, each as amended, of the Corporation or any material agreement or other instrument binding upon the Corporation, and no consent, approval or authorization of any governmental body or agency (which has not been obtained) is required for the performance by the Corporation of its obligations under this Agreement or the GE Capital Agreement.
