Contributing Party Ancillary Documents. The Contributing Parties shall have delivered, or caused to be delivered, to the Recipient Parties the Contributing Party Ancillary Documents required under Section 3.2.
Contributing Party Ancillary Documents. The Contributing Parties shall have delivered, or caused to be delivered, to the Recipient Parties or, in the case of clause (vi), as set forth on Schedule 8.5(d): (i) A counterpart to the applicable Interest Conveyance Agreement, duly executed by the applicable Contributing Party; (ii) The Contributing Party Closing Certificate, duly executed by an officer of APC; (iii) A certificate under Section 1.1445-2(b)(2) of the Treasury Regulations certifying that each Contributing Party (or, if such Contributing Party is an entity disregarded from its owner for U.S. federal income tax purposes, such owner) is not a foreign person within the meaning of Section 1445(f)(3) of the Code; (iv) A counterpart of the WGRAH-WES GP Indemnification Agreement, duly executed by WGRAH; (v) A counterpart of the WGRAH-APC Loan Agreement, duly executed by WGRAH and APC; (vi) The items set forth on Schedule 8.5(d); and (vii) Such other certificates, instruments of conveyance and documents as may be reasonably requested by the Recipient Parties prior to the Closing Date to carry out the intent and purposes of this Agreement.
