Contribution and Conveyance of Subject Assets. Santa Fe hereby grants, conveys, assigns, transfers, contributes, and delivers unto Monterey, its successors and assigns, forever, all of its right, title, and interest in and to the Subject Assets, subject, however, to the terms and conditions stated in this Agreement.
