Contribution and Notices Clause Samples
The 'Contribution and Notices' clause outlines the responsibilities of parties to provide contributions—such as information, resources, or payments—and the procedures for giving formal notifications related to these contributions. Typically, it specifies how and when contributions must be made, and details the acceptable methods and timing for delivering notices, such as by email or registered mail. This clause ensures that all parties are clear on their obligations and the communication process, reducing the risk of misunderstandings or disputes regarding contributions and official correspondence.

Failure to so notify such other Indemnifying Party or Indemnifying Parties shall not relieve such other Indemnifying Party or Indemnifying Parties from any other obligation it or they may have hereunder or otherwise, unless the Indemnifying Party has been materially prejudiced in its ability to defend the action as a result of such delay. If such other Indemnifying Party or Indemnifying Parties are so notified, such other Indemnifying Party or Indemnifying Parties shall be entitled to participate in the defense of such action, suit, proceeding or claim at its or their own expense or in accordance with arrangements satisfactory to all parties who may be required to contribute.
