Contribution and Purchase of Assets. Company shall contribute, sell, transfer, assign, convey and deliver to EPP good and valid title to the Assets, free and clear of all Encumbrances other than Permitted Encumbrances (provided that Company shall cause to be released and discharged on or prior to the Closing Date all of the Permitted Encumbrances described in clause (vii) of the definition of “Permitted Encumbrances” and all of the Encumbrances set forth on Schedule 8.2(n)), and EPP shall accept the Assets and shall assume the Assumed Obligations. Notwithstanding the foregoing, the Assets shall not include those assets of the Company listed on Exhibit A attached hereto (collectively, the “Excluded Assets”).
