Contribution by EPP LP of the Subject Interests to the Partnership. EPP LP hereby grants, contributes, bargains, conveys, assigns, transfers, sets over and delivers to the Partnership, its successors and assigns, for its and their own use forever, all right, title and interest in and to the Subject Interests, and the Partnership hereby accepts the Subject Interests from EPP LP as a contribution by EPP LP to the capital of the Partnership.
