Contributor Performance; Accuracy of Representations. Contributor and Principal must have performed in all material respects all of their obligations hereunder on or prior to the Closing Date. Contributor’s representations and warranties contained in this Agreement must be true and accurate, in all material respects, as if made as of the Closing Date.
