Control and Access. Subject to Regent's time brokering of the Stations pursuant to the Time Brokerage Agreement, prior to Closing, Regent and its agents shall not directly or indirectly (i) control, supervise or direct, or (ii) attempt to control, supervise or direct, the operations of the Stations. Except as otherwise provided herein, such operations shall be the sole responsibility of and in the complete discretion of Alta. Regent shall, however, be permitted reasonable observation, access and inspection of the records and property of the Stations during regular business hours and be furnished on a monthly basis (within 20 days following the end of each month) a profit and loss statement and such other financial statements including historical statements, relating to the Stations as it may reasonably request and as are regularly prepared by Alta in the ordinary course of the business of the Stations.
Control and Access. Customer determines what Customer Data it uses and retains full control over the access to and use of its Customer Data. Galvanize will not access Customer Data, except as instructed or authorized by Customer, where necessary to prevent or address service or technical problems affecting Customer, or if required by law, regulation or court order. Galvanize is not responsible or liable for the deletion, damage, loss, corruption of or unauthorized access to any Customer Data, except to the extent caused by Galvanize’s failure to meet its obligations under this Agreement.
Control and Access. 26.1 For CTFs, JISAs and bare trusts, once the child reaches 18 years old (16 years in Scotland for bare trusts), control of the portfolio(s) will transfer to the child without incurring any tax liability. We will write to holders of JISAs at this time and ask whether they wish to maintain their investments with us, by completing an ISA Application/ Transfer Form to include details of their National Insurance Number, transfer to another provider or encash any stocks and shares held and close the portfolio(s) held by us for them. The child can also apply for control of the portfolio(s) from the age of 16 years upon production of a valid National Insurance Number and written correspondence authorising the transfer of control.

Control and Access. Supplier shall cooperate with ABA in responding to any party, non-party, or government request for ABA Data. In the event that such requests are served on ABA, Supplier shall provide ABA with access to such ABA Data in the format in which it is maintained in the ordinary course of business and that is readable and usable (or, on ABA’s request, with copies) within twelve (12) hours of receipt of any request by ABA for such access or copies. In the event that such a request (in the form of a subpoena, order or otherwise) is provided to or served on Supplier, Supplier shall immediately provide ABA (but in no event more than twenty-four (24) hours after Supplier’s receipt of such request, order, or subpoena) with written notice, as set forth in Section 18. Such notification shall include a copy of the request, subpoena, or court order. In addition, Supplier shall immediately inform in writing the third party who caused the request, subpoena, or order to issue or be provided or served on Supplier that some or all of the material covered by the request, subpoena or order is the subject of a nondisclosure agreement. Supplier shall cooperate with ABA in seeking any protection from disclosure for such ABA Data that ABA shall deem appropriate, including working with ABA and its attorney(s) (including in-house and outside counsel) to limit, as appropriate, the production of ABA Data and by filing, as deemed necessary by ABA and Supplier, protective orders to protect the ABA Data. In addition, Supplier shall provide ABA and its attorneys (including in-house and outside counsel) the right to timely review all ABA Data produced in any such litigation matter, including the right to identify and xxxx as “Confidential” any ABA Data prior to its production or disclosure in any such litigation matter.

Control and Access. Prior to Closing, neither Regent nor Faircom nor their respective agents shall directly or indirectly (i) control, supervise or direct, or (ii) attempt to control, supervise or direct, the operations of the other's radio stations. Except as otherwise provided herein, such operations shall be the sole responsibility of and in the complete discretion of the respective owners of the radio stations. Each party shall, however, be permitted reasonable observation, access and inspection of the records and property of the other's radio stations during regular business hours and each of Faircom and Regent shall furnish on a monthly basis (within twenty-five (25) days following the end of each month) a profit and loss statement and such other financial statements, including historical statements, relating to the radio stations as the requesting party may reasonably request and as are regularly prepared by the station owner in the ordinary course of the business of its stations.

In addition to rights granted to Buyer under the Time Brokerage Agreement (hereinafter defined), Buyer shall be permitted reasonable observation and access and inspection of the records and property of the Stations during regular business hours in such a manner as to not interfere unreasonably with the normal operations of the Stations.
