Common use of Control of the Stations Clause in Contracts

Control of the Stations. Prior to the Closing, control of the Station (including, without limitation, control over their finances, personnel and programming) shall remain with the Company or Gannett, as the case may be. The Company and Purchaser acknowledge and agree that neither Purchaser nor any of its employees, agents or representatives, directly or indirectly, shall, or shall have any right to, control, direct or otherwise supervise the Station, it being understood that supervision of all programs, equipment, operations and other activities of the Station shall be the sole responsibility of, and at all times prior to the Closing remain under the complete control and direction of, the Company or, if prior to the Closing under the Gannett Purchase Agreement, Gannett.
