Control of Trust. The Trustees shall be the named fiduciaries of the Trust and shall have the power to control the Trust and to perform all such acts, to take all such proceedings, and to exercise all such rights and privileges, although not specifically mentioned herein, as the Trustee may deem necessary or advisable to administer the Trust or to carry out the purposes of this Agreement.

Control of Trust. So long as any of the Notes or the other obligations secured by the Indenture remain outstanding, the Seller will not (i) sell, pledge or otherwise transfer any of its beneficial interest in the Trust held by the Seller or (ii) vote such beneficial interests in favor of any amendment to or alteration of the certificate of formation of the Trust.

All bank accounts maintained by the Owner Trustee on behalf of the Trust shall be located in the State of Delaware or the State of New York.
