Control Over Meetings. All meetings of the Stockholders shall be presided over by the chairman of the meeting, who shall be a Director (or representative thereof) designated by the Directors. The chairman of any meeting of Stockholders shall determine the order of business and the procedure at the meeting, including such regulation of the manner of voting and the conduct of discussion as seem to him in order.
