The Controlling Authorities clause defines which governmental or regulatory bodies have jurisdiction over the agreement and its enforcement. Controlling Authorities. This Agreement is made with the understanding that its provisions are controlled by the Cable Act, other federal laws, state laws, and all applicable local laws, ordinances, and regulations. To the extent such local laws, ordinances, or regulations clearly conflict with the terms and conditions of this Agreement, the terms and conditions of this Agreement shall prevail, except where such conflict arises from the Franchising Authority’s lawful exercise of its police powers.
Controlling Authorities. 27.3.1. The Controlling Authority for each Party is the person identified as such in Schedule A. A Party may, by written notice to the Controlling Authority of the other Party, from time to time change its Controlling Authority, and the Parties shall amend Schedule A accordingly. 27.3.2. A Party shall comply with any request received from the Controlling Authority of the other Party.
Controlling Authorities. Except as set forth in the Section of Part II of this Schedule captioned “Limited Waiver,” Licensee’s obligations related to its performance of servicing (and related charges) and repurchase are as set forth in the Mortgage Selling and Servicing Contract, the ▇▇▇▇▇▇ ▇▇▇ Guides and this Agreement. Use of the Licensed Application by Licensee or ▇▇▇▇▇▇ ▇▇▇ in no way limits, alters or revises such obligations, including performance of servicing in compliance with applicable laws and other requirements, which are controlling regardless of (i) the accuracy or completeness of any information Licensee submits to or obtains from the Licensed Application and (ii) Licensee’s use of or reliance upon it.

Controlling Authorities. The provisions of this Franchise Agreement constitute a valid and enforceable contract between the parties, and shall be construed in accordance with generally accepted rules concerning construction of municipal Franchise contracts.
