Controlling Law and Severability. The Service is controlled and operated from its offices within the State of New York. This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. In the event of any dispute concerning the Service, or any matter related to this Agreement, You agree that the litigation shall be in state or federal courts in New York City. In the event that any of the provisions of this Agreement shall be held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.
