Controlling Law; Severability. The validity and construction of this Agreement or of any of its provisions shall be determined under the laws of the State of California. Should any provision of this Agreement be invalid either due to the duration thereof or the scope of the prohibited activity, such provision shall be limited by the court to the extent necessary to make it enforceable and, if invalid for any other reason, such invalidity or unenforceability shall not affect or limit the validity and enforceability of the other provisions hereof.

Should any provision I further agree that if one or more provisions of this Agreement are held to be invalid either due to the duration thereof illegal or the scope of the prohibited activityunenforceable under applicable California law, such provision illegal or unenforceable portion(s) shall be limited by the court or excluded from this Agreement to the minimum extent necessary to make it required so that this Agreement shall otherwise remain in full force and effect and enforceable and, if invalid for any other reason, such invalidity or unenforceability shall not affect or limit the validity and enforceability of the other provisions hereofin accordance with its terms.
