Controlling Shareholder Holds Rights in Trust. Each of the parties to this Agreement acknowledges that the provisions of Section 4.1 are intended for the irrevocable benefit of, and shall be enforceable by, all Xxxx Family Shareholders and their respective heirs, executors, administrators and legal representatives, and for such purpose, the Controlling Shareholder confirms that it is acting as trustee on their behalf, and agrees to enforce such provisions on their behalf, which provisions shall be binding on the Purchaser and any of its successors.
