Common use of Conversion Agent Services Clause in Contracts

Conversion Agent Services. The Agent shall also receive a fee of up to a maximum of $100,000 for certain conversion agent services set forth in the letter agreement, dated May 26, 2009, between the Bank and the Agent (a copy of which is attached hereto as Exhibit B), $25,000 of which has already been paid to the Agent and is nonrefundable and the balance of which shall be payable to the Agent upon completion of the Offering. The Company and the Bank will reimburse the Agent up to a maximum of $10,000 for its reasonable out-of-pocket expenses incurred in connection with its conversion agent services.

The Company and the Bank will reimburse the Agent up to a maximum of $10,000 for its reasonable out-of-pocket expenses incurred in connection with its conversion agent services.

The Holding Company and the Bank will reimburse the Agent up Agent, upon request made from time to a maximum of $10,000 time, for its reasonable out-of-pocket expenses incurred in connection with its conversion agent services.
