Conversion Agent to Notify Company of Conversions. If any Note is submitted for conversion to the Conversion Agent or the Conversion Agent receives any written notice of conversion with respect to a Note, then the Conversion Agent will promptly notify the Company and the Trustee of such occurrence, together with any other information reasonably requested by the Company, and will cooperate with the Company to determine the Conversion Date for such Note. For these purposes, conversion instructions with respect to any Global Note which instructions are delivered to the Conversion Agent by means of a “Voluntary Offering Instruction” pursuant to the Depositary Procedures will be deemed to be in writing.
