Conversion into the Borrower's Common Stock Sample Clauses
The 'Conversion into the Borrower's Common Stock' clause allows a lender or noteholder to convert the outstanding debt or loan amount into shares of the borrower's common stock, rather than being repaid in cash. Typically, this conversion occurs at a predetermined rate or upon the occurrence of specific events, such as a financing round or maturity date. This clause provides flexibility for both parties: it can offer the lender potential upside if the company's value increases, while helping the borrower manage cash flow and potentially strengthen its capital structure.
