Conversion of Newco Stock. On the Effective Date, each share of the total of 20,000 shares of common stock of Newco, par value $.001 per share, issued and outstanding immediately before the Effective Date shall, by virtue of the Merger and without any action on the part of the holder thereof, be automatically converted into and become one share of common stock, par value $.001 per share, of the Surviving Corporation. It is the intention of the parties that, immediately after the Merger, Emergent shall own all of the issued and outstanding capital stock of the Surviving Corporation.

Conversion of Newco Stock. Each share of Newco common stock, no par value per share (collectively, the "Newco Common Stock"), issued and outstanding immediately prior to the Effective Time shall, by virtue of the Merger and without any action on the part of IHI as the sole holder thereof, be converted into and exchanged for one fully paid and nonassessable share of common stock, no par value per share, of the Surviving Corporation (the "Surviving Corporation Common Stock"). From and after the Effective Time, each outstanding certificate that previously represented shares of Newco Common Stock shall be deemed for all purposes to evidence ownership of and to represent the number of shares of Surviving Corporation Common Stock into which such shares of Newco Common Stock shall have been converted. Promptly after the Effective Time, the Surviving Corporation shall issue to IHI a stock certificate or certificates representing such shares of Surviving Corporation Common Stock in exchange for the certificate or certificates that formerly represented outstanding shares of Newco Common Stock, which shall be canceled.
