Conversion-related Fees. Concurrently with each conversion, the Company shall cause to be delivered to the Holder that number of Conversion Shares that is equivalent to $1,250.00 at the then-Conversion Price, such Conversion Shares’ value to be in lieu of the Holder requiring the Company to tender funds to the Holder for its brokerage expenses in connection with such conversion.
