Conversion upon a Specified Corporate Transaction Sample Clauses
The "Conversion upon a Specified Corporate Transaction" clause defines the conditions under which a security, such as a convertible note or preferred share, will automatically convert into another class of securities if a particular corporate event occurs. Typically, this applies to events like mergers, acquisitions, or asset sales, where the company undergoes a significant structural change. The clause ensures that holders of the convertible security are treated equitably and can participate in the new structure, thereby protecting their interests and clarifying the outcome in the event of major corporate transactions.
