Common use of Conveyance and Acceptance Clause in Contracts

Conveyance and Acceptance. In accordance with the provisions of the Asset Purchase Agreement, Seller hereby sells, transfers, conveys, assigns and delivers to Purchaser all of Seller’s right, title and interest in and to the Transferred Assets, and Purchaser hereby purchases and accepts the Transferred Assets, in each case, free and clear of all Liens other than Permitted Liens.

Conveyance and Acceptance. In accordance with the provisions of the Asset Purchase Agreement, Seller hereby sells, conveys, transfers, conveys, assigns and delivers to Purchaser, and Purchaser hereby purchases, takes delivery of and acquires from Seller, all of Seller’s 's right, title and interest in and to the Transferred Purchased Assets, and Purchaser hereby purchases and accepts the Transferred Assets, in each case, free and clear of all Liens other than Permitted Liens.

In accordance with the provisions of the Asset Purchase Agreement, Seller hereby sells, assigns, transfers, conveyssets over, assigns conveys and delivers to Purchaser all of Seller’s Buyer the entire right, title and interest in of Seller and each of its respective Affiliates in, to and under each of the Transferred Assets, and Purchaser Buyer hereby purchases the Assets and accepts the Transferred Assetssuch assignment, transfer, set over, conveyance and delivery, in each case, case free and clear of all Liens other than the Permitted Liens.

In accordance with and subject to the provisions of the Asset Purchase Agreement, Seller hereby sells, transfers, conveys, assigns and delivers to Purchaser Buyer, and Buyer hereby purchases and accepts, all of Seller’s right, title and interest in in, to and to under the Transferred Purchased Assets, and Purchaser hereby purchases and accepts the Transferred Assets, in each case, free and clear of all Liens other than Permitted Liens.

Conveyance and Acceptance. In accordance with the provisions of the Option and Asset Purchase Agreement, Seller hereby sells, transfers, conveys, assigns and delivers to Purchaser Buyer all of Seller’s rightrights, title and interest interests in and to the Transferred Acquired Assets, and Purchaser Buyer hereby purchases and accepts the Transferred Acquired Assets, in each case, free and clear of all Liens other than Permitted Liens.
