Conveyance and Transfer. 2.1 In consideration of the payment mentioned in Schedule F, the Owner and the Promoter:
(A) hereby sell convey and/or transfer, absolutely and forever, to the Purchaser the Said Apartment Unit no. [ ] having carpet area of [ ] square feet and having [ ] square feet of super built-up area, type [ ], on [ ] floor in the Building (“Unit”) along with [ ] number of garage/covered car parking space bearing nos. [ ]in the [ ]together with undivided proportionate share in the Common Areas and together with undivided proportionate share in the land comprised in the Said Premises(morefully described in Schedule “C” herein and hereinafter referred to as the said Apartment);and
(B) hereby grant a perpetual and non-exclusive right to use and enjoy the Common Areas in common with all the other Unit Owners; free from all encumbrances, trusts, liens, lispendens, mortgages, charges and attachments whatsoever with freehold title and all benefits and rights hereby granted to the Purchaser, subject further to the observance and performance by the Purchaser of all the terms and conditions of the management, administration and maintenance of the Common Areas and subject further to the Purchaser paying and discharging all rates, taxes, impositions, outgoings relating to the period from the date of its possession and/or the deemed date of possession, as the case may be, wholly with respect to the said Apartment and proportionately with respect to the Common Areas.
2.2 The term ‘the said Apartment’ wherever used in this Deed shall include all the properties and rights mentioned in Clause 2.1 hereinabove which are being hereby sold and/or granted, unless contrary to the context and it is expressly made clear that the same constitute one residential unit.
2.3 AND IT IS HEREBY EXPRESSLY AGREED AND MADE CLEAR that the payments paid by the Purchaser includes the cost of prorata share in the common areas as defined under the West Bengal Industry Regulation Act 2017 (ACT) and as such upon formation of the Association the prorata share of the Purchaser into or upon the common areas hereby sold and transferred in favour of the Purchaser shall stand transferred and/or vested in the Association upon formation without any further act deed or thing as provided under the provisions of Section 17 of the West Bengal Industry Regulation Act 2017 and until then the Purchaser shall hold the same in trust for such Association.
2.4 The right of the Purchaser shall be restricted to the Said Apartment ...
Conveyance and Transfer. ET agrees to convey and transfer the Property to Genesis and Genesis agrees to acquire and accept the Property from ET in accordance with the terms hereof.

Conveyance and Transfer. On each Sale Date, subject to the terms and conditions of this Agreement, the applicable Seller or Sellers shall sell, transfer, assign and deliver to Purchaser, without recourse and Purchaser shall purchase, all right, title and interest in and to the Mortgage Loans, exclusive of the related servicing rights. As of each Sale Date, the Purchaser shall own and be entitled to receive with respect to each Mortgage Loan purchased on such Sale Date all Monthly Payments and all other recoveries of principal and interest due after the applicable Cut-Off Date, subject to the rights of the Servicer in accordance with the terms of the Servicing Agreement to the Servicing Fees and reimbursement for certain costs, expenses, and advances incurred or made pursuant thereto. All such amounts that are collected after the applicable Cut-Off Date through and including the related Sale Date, shall be held and remitted by the Servicer, in accordance with the terms of the Servicing Agreement.
