Common use of Conveyance of Pooled Mortgage Loans Clause in Contracts

Conveyance of Pooled Mortgage Loans. (a) It is the intention of the parties hereto that a common law trust be established under the laws of the State of New York pursuant to this Agreement and, further, that such trust be designated as "Bear Xxxxxxx Commercial Mortgage Trust 2005-PWR8". LaSalle is hereby appointed, and does hereby agree to act, as Trustee hereunder and, in such capacity, to hold the Trust Fund in trust for the exclusive use and benefit of all present and future Certificateholders. It is not intended that this Agreement create a partnership or a joint-stock association.
