Common use of Conveyancing Documents; Release of Encumbrances Clause in Contracts

Conveyancing Documents; Release of Encumbrances. Seller shall have executed and delivered each of the documents described in Article III hereof so as to effect the transfer and assignment to Buyer of all right, title and interest in and to the Assets and Seller shall have filed (where necessary) and delivered to Buyer all documents necessary to release the Assets from all Encumbrances, which documents shall be in a form reasonably satisfactory to Buyer and its counsel.
