Common use of Conveyancing Documents; Release of Encumbrances Clause in Contracts

Conveyancing Documents; Release of Encumbrances. Sellers shall have executed and delivered each of the documents described in Section 4.2 hereof so as to effect the transfer and assignment to Purchaser of all right, title and interest in and to the Assets, and Sellers shall have filed (where necessary) and delivered to Purchaser all documents necessary to release the Assets from all Encumbrances, which documents shall be in a form reasonably satisfactory to Purchaser's counsel.

Sellers Seller shall have executed and delivered each of the documents described in Section 4.2 3.2 hereof so as to effect the transfer and assignment to Purchaser Buyer of all right, title and interest in and to the Assets, Products or Accounts and Sellers Seller shall have filed (where necessary) and delivered to Purchaser Buyer all documents necessary to release the Assets Products or Accounts from all Encumbrances, which documents shall be in a form reasonably satisfactory to PurchaserBuyer's counsel.
