Cooperation and Intent. The Company shall cooperate in good faith with the Indemnitee and use its reasonable best efforts to ensure that, to the fullest extent permitted by the Act and other applicable law, the Restated Articles, the Company’s Bylaws and the terms of this Agreement, the Indemnitee is indemnified and/or reimbursed for Losses described herein and receives the Expense Advance.
