Cooperation by Customer. The Customer acknowledges that the success and timeliness of the implementation process shall require the active participation and collaboration of the Customer and its staff and agrees to act reasonably and cooperate fully with the S&S to achieve the Completion of Services related to any Professional Services supplied by S&S. Cooperation by Customer. 1. The Customer shall cooperate at its expense with our employees in the provision of the Services as is necessary.

Insofar as any performance is to be provided at the premises of the Customer, the Customer shall undertake all special measures necessary for the protection of our personnel and property at the place of the provision of services and the performance of a work and ensure that all insurance coverage for our personnel and the goods pursuant to the Services, are existing. If necessary, the Customer shall provide special protective clothing at no charge. Furthermore, the Customer shall instruct our personnel as to any applicable special safety regulations insofar as such are of significance for our personnel and for the performance of the Services. In the event of any breach of such regulations by our personnel the Customer shall notify us without undue delay. If any performance is not possible because of non- compliance with safety regulations and a resulting threat to the safety of personnel, either appropriate counter-measures are to be undertaken or the respective performance shall be suspended until such time as an appropriate level of safety can be ensured. In the event that the Customer is responsible for ensuring the required safety at the place of work, such suspension shall result in an extension of any affected deadlines.
3. Insofar as any performance is to be provided in a foreign country and our personnel require visas or other permits to visit and/or work in the country, the Customer shall cooperate with us at no expense to us as far as necessary in applying for, or extending or modifying such permits or visas as required for the performance of the Services. All costs and expenses shall be borne by the Customer.
4. We reserve the right to claim reasonable compensation resulting from any failure of the Customer to cooperate. Any additional rights shall not be affected thereby.
5. Unless otherwise agreed to the contrary, the Customer shall cooperate with us at its own expense in providing technical support to the necessary extent. The Customer shall be liable for the correctness of any information, documentation etc. supplied to us, and also in terms of any third party rights and intellectual property rights in all items and specifications related thereto which is required for our performance of the Services.
Cooperation by Customer. 9.1 Customer shall provide on time in all instances all information that may be useful and required for performance of the Agreement and shall guarantee that provided information shall be correct and complete.
9.2 EDIA shall have the right to suspend performance of the Agreement if Customer fails to provide, provide on time or provide in accordance with the arrangements any information and devices required for performance of the Agreement, or in any other way fails to fulfil its obligations.
9.3 Customer shall at all times provide employees of EDIA access to places where work must be performed or Services must be provided.
Cooperation by Customer. Should Developer or any of its agents or representatives seek to obtain letters patent, trademarks, or copyrights in any country of the world on all or part of the Modified Software, Customer agrees to cooperate fully without additional compensation in providing information, completing forms, performing actions, and obtaining the necessary signatures or assignments required to obtain such letters patent, trademarks, or copyrights.

If Equinox or any of its agents or representatives seek to obtain letters patent, trademarks, or copyrights in any country on all or part of anything provided or developed under this Agreement to which Equinox owns as described above, then Customer will cooperate fully without compensation in providing information, completing forms, performing actions, and obtaining the necessary signatures or assignments required to obtain such letters patent, trademarks, or copyrights. If Equinox is unable for any reason to obtain Customer's signature on any document necessary for any purpose set forth in the foregoing sentence, Customer hereby irrevocably designates and appoints Equinox and Equinox's duly authorized officers and agents as Customer's agent and attorney-in-fact to act for and in Customer's behalf and stead to execute and file any such document and to do all other lawfully permitted acts to further any such purpose with the same force and effect as if executed and delivered by Customer.
