Cooperation; Commercially Reasonable Efforts. The parties shall cooperate in good faith in connection with all actions to be taken to consummate the transactions contemplated by, and to enforce the rights created by and perform the responsibilities imposed by, this Agreement.

The parties shall cooperate in good faith in connection with all actions to be taken to consummate the transactions contemplated by, and to enforce the rights created by and perform the responsibilities imposed by, this AgreementAgreement and in order to assure compliance with Federal, state and local laws, rules and regulations. The parties agree to execute such amendments, modifications or supplements to this Agreement or any other agreements between or among any of the parties hereto, necessary or appropriate to assure such compliance.
