Cooperation, Governmental Authorities. After Closing, the Parties further agree to take all other actions required of it by Governmental Authorities having jurisdiction to obtain all requisite regulatory approval with respect to this transaction, and to use their commercially reasonable efforts to obtain unconditional approval by such Governmental Authorities of any transfer documents requiring Governmental Authority approval in order for Buyer to be recognized as owner of the Assets. Each Party agrees to provide the other Party with approved copies of the documents contemplated by this Section 12.2 as soon as they are available.
