Common use of Cooperation in Initial and Continuing Disclosure Clause in Contracts

Cooperation in Initial and Continuing Disclosure. The Company agrees to provide all information regarding the planned development of the property within the District which is necessary to ensure that the official statement for each series of Bonds complies with the requirements of Rule 15c2-12 of the Securities and Exchange Commission and all other applicable federal and state securities laws. As a condition to the issuance of each series of Bonds, the Company further agrees to enter into a Continuing Disclosure Agreement to provide certain semiannual and event disclosure related to the District as and to the extent determined necessary by the District to comply with federal and state securities laws; provided, however that the termination provision of any such agreement shall be the same as that for the Series A of 2016 Bonds unless otherwise agreed to by the Company.

As a condition to the issuance of each series of Parity Bonds, the Company further agrees to enter into a Continuing Disclosure Agreement continuing disclosure agreement to provide certain semiannual and event disclosure related to the District as and to the extent determined necessary by the District to comply with federal and state securities laws; provided, however that the termination provision of any such agreement shall be the same as that for the 2023 Series A of 2016 Bonds unless otherwise agreed to by the Company.
